1. Acceptance of Terms

Welcome to proSathi. By accessing or using our platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

2. Description of Service

proSathi is a professional service marketplace that connects service providers with clients. Our platform facilitates booking, scheduling, and payment processing for various professional services.

2.1 Automated Notifications

By using proSathi, you agree to receive automated communications related to your bookings, including emails and WhatsApp notifications. WhatsApp notifications are provided as a supplementary convenience for **scheduled services (Calls and Webinars)** that meet our minimum pricing thresholds. We reserve the right to modify these thresholds at any time. WhatsApp notifications are not provided for Free-tier services or Priority DM interactions.

We provide the technology platform but are not directly involved in the actual transaction between service providers and clients. We are not responsible for the quality, safety, or legality of the services offered.

3. User Accounts

3.1 Account Registration

To use certain features of proSathi, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account and use proSathi. By creating an account, you represent that you meet this age requirement.

4. Service Provider Terms

4.1 Service Listings

Service providers agree to:

• Provide accurate descriptions of services offered
• Set fair and honest pricing
• Maintain professional standards in service delivery
• Possess all necessary licenses, certifications, and insurance required for their services
• Honor bookings made through the platform

4.2 Service Provider Fees

proSathi charges service providers a commission fee on completed bookings. The fee structure will be clearly communicated during the onboarding process and may be updated with reasonable notice.

5. Client Terms

5.1 Booking Services

Clients agree to:

• Provide accurate information when booking services
• Honor confirmed bookings or cancel according to the cancellation policy
• Pay for services in accordance with the agreed pricing
• Treat service providers with respect and professionalism

5.2 Cancellation Policy

Cancellation terms may vary by service provider. Clients should review the specific cancellation policy before booking. Late cancellations or no-shows may result in cancellation fees.

6. Payments and Refunds

All payments are processed securely through our payment partners (eSewa, Khalti). By using our payment services, you agree to our payment terms and the terms of our payment processors.

6.1 No-Show Refund Guarantee

If a ProSathi (service provider) fails to join a confirmed session, the client is entitled to a full refund of the booking fee. To initiate a refund, clients must contact proSathi support at dev@prosathi.com or via our official Instagram handle within 24 hours of the missed session. ProSathi will investigate and process eligible refunds promptly. Repeated no-show violations by a provider may result in suspension or permanent removal from the platform.

6.2 ProSathi Wallet

ProSathi may offer a Wallet feature that allows users to hold platform credits for future bookings. Wallet credits are:

• Non-transferable and non-refundable as cash unless required by law
• Valid only for bookings made on the proSathi platform
• Subject to expiry as communicated at the time of credit issuance
• Not redeemable against payment gateway transaction fees

ProSathi reserves the right to modify, suspend, or terminate the Wallet feature at any time with reasonable prior notice.

6.3 General Refund Policy

Outside of the no-show guarantee, refunds are handled on a case-by-case basis subject to the service provider's stated policy and our dispute resolution process. Clients are encouraged to review cancellation terms before booking.

7. Prohibited Activities

You agree not to:

• Use the platform for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Harass, abuse, or harm other users
• Attempt to circumvent the platform's fees or payment system
• Create multiple accounts to manipulate reviews or ratings
• Scrape or collect user data without permission
• Impersonate any person or entity
• Promote, facilitate, or conduct any form of fraud, including but not limited to pyramid schemes, multi-level marketing (MLM) scams, video call (VC) investment fraud, or any scheme designed to deceive or financially harm participants
• Use proSathi sessions to solicit illegal investments, operate unlicensed financial advisory services, or conduct activities prohibited under the laws of Nepal

7.1 Illegal Activity Enforcement & Platform Responsibility

ProSathi takes a zero-tolerance stance toward fraud, scams, and illegal activities. Illegal financial schemes, including VC (video call) investment fraud, which have become increasingly prevalent in Nepal, are strictly prohibited on this platform.

If proSathi discovers or receives credible reports that a service provider is engaged in illegal activities, we will:

• Immediately suspend the provider's account and remove all associated service listings
• Freeze any pending payouts to the provider pending investigation
• Cooperate fully with Nepal Police, the Department of Money Laundering Investigation (DMLI), and any relevant regulatory authority upon receipt of a valid legal request
• Provide user data (booking records, contact information, transaction history) to law enforcement as required by Nepali law
• Permanently ban the provider from the platform upon confirmation of illegal conduct

Clients who believe they have encountered fraudulent activity on proSathi are encouraged to report it immediately to dev@prosathi.com. ProSathi is not liable for losses incurred due to a user's participation in fraud, but we are committed to assisting affected users in connecting with the appropriate authorities.

8. Intellectual Property

The proSathi platform, including its design, features, and content, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without prior written consent.

By posting content on proSathi, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the platform.

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimer

proSathi is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee the accuracy, completeness, or reliability of any content on the platform.

9.2 Limitation of Liability

To the fullest extent permitted by law, proSathi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the fees paid by you in the six months prior to the claim.

10. Dispute Resolution

In the event of a dispute between users, we encourage resolution through our platform's support system. For disputes with proSathi, you agree to first attempt informal resolution by contacting our support team.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service or for any other reason at our discretion. You may also terminate your account at any time by contacting our support team.

Upon termination, your right to use the platform will immediately cease. All provisions that should reasonably survive termination shall continue to apply.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the platform. Your continued use of proSathi after changes constitutes acceptance of the modified terms.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which proSathi operates, without regard to its conflict of law provisions.
